End User Licence Agreement
Effective date: August 24, 2026
This End User License Agreement ("Agreement") is a binding contract between you — either an individual or the organization you represent ("you") — and SquidSpark Inc., a corporation incorporated under the Canada Business Corporations Act, with its registered office at 7030 Woodbine Avenue, Suite 500, Markham, Ontario, L3R 6G2, Canada ("SquidSpark", "we", "us").
It governs the RDP Engine desktop application, including its installer, documentation, and any updates we make available (together, the "Software").
By installing, copying, activating, or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software, and you may request a refund under section 5.4. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization, and "you" means that organization.
1. What the Software is
RDP Engine is a Windows client application that connects to remote systems you choose, using seven protocols: Remote Desktop (RDP), SSH, SFTP, FTP/FTPS, MySQL/MariaDB, PostgreSQL, and Microsoft SQL Server. It stores your connection settings, and optionally your credentials, locally on your own device.
SquidSpark does not host, operate, monitor, or route your remote sessions. All session traffic flows directly between your device and the systems you connect to. Section 4 of this Agreement and the Privacy Policy explain the only network connections the Software makes to us.
2. Licence grant
2.1 Grant
Subject to your compliance with this Agreement, SquidSpark grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on devices that you own or control, for your own internal purposes (personal or business).
2.2 Free tier
The Software may be used at no charge, with these limits:
- a maximum of five (5) saved connections; and
- a maximum of three (3) simultaneous sessions.
All features are available on the free tier. The limits apply to volume, not capability. The free tier is provided without any obligation of support or updates.
2.3 Licensed tier — subscription
A paid licence removes the free-tier limits. Licences are sold as an annual subscription at CAD $49.00 per year (plus applicable taxes), and each licence may be activated on up to three (3) devices at a time. You may deactivate a device from within the Software to free its activation slot for another device.
2.4 What your subscription includes
While your subscription term is current, you receive all updates, upgrades, and new versions of the Software that we release during that term, and the free-tier limits do not apply.
2.5 What happens when a subscription ends
If you do not renew, you keep what you paid for. You may continue to use, indefinitely and without the free-tier limits, the most recent version of the Software that was released during your paid term. That perpetual right is granted under, and remains subject to, this Agreement.
You will not receive versions released after your term ends. Renewing restores access to current and future versions for the new term. We may require the Software to revalidate your licence in order to distinguish a lapsed-but-paid installation from an unlicensed one; if revalidation is impossible for longer than the offline grace period in section 4.3, the Software may revert to the free tier until it can next reach the licence server. Reverting to the free tier never deletes your saved connections or other data.
2.6 Reservation of rights
The Software is licensed, not sold. SquidSpark and its licensors retain all right, title, and interest in and to the Software. Any right not expressly granted here is reserved.
3. Restrictions and acceptable use
3.1 You may not
- sell, rent, lease, lend, sublicense, distribute, host as a service, or otherwise make the Software available to third parties;
- share, publish, or resell a licence key, or use one on more devices than your activation allowance permits;
- circumvent, disable, tamper with, or interfere with the licence activation, validation, tier limits, or any other technical protection in the Software;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except and only to the extent that applicable law expressly permits despite this restriction;
- modify, adapt, or create derivative works of the Software;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice; or
- use the Software to develop a competing product.
3.2 Authorized access only
The Software is a remote-access client. You may use it only to connect to systems, accounts, and data that you own or that you are expressly authorized to access. Unauthorized access to a computer system is a criminal offence in Canada and in most other jurisdictions. You are solely responsible for your use of the Software, for the lawfulness of every connection you make, for complying with the acceptable-use policies of every network and system you reach, and for any credentials you enter.
3.3 Compliance with law
You will comply with all applicable laws in your use of the Software, including privacy, data-protection, computer-misuse, and export-control laws.
4. Licence activation, validation, and privacy
4.1 Activation
Activating a paid licence requires the Software to contact our licence server at license.squidspark.com, which is hosted in Canada. The Software transmits your licence key, a one-way hashed device identifier, and your Windows computer name. Our server also records the IP address inherent to the request.
4.2 What we do not receive
We never receive your connection profiles, hostnames, usernames, passwords, private keys, clipboard contents, screen contents, transferred files, SQL queries, or query results. Saved passwords are encrypted on your device with Windows Data Protection (DPAPI) and cannot be read by us.
4.3 Periodic revalidation and offline use
The Software revalidates your licence with our server from time to time. A successfully validated licence continues to work offline for thirty (30) days before revalidation is required.
4.4 Privacy Policy
Our handling of personal information is described in the RDP Engine Privacy Policy, which is incorporated into this Agreement by reference and is available in the Software and at squidspark.com.
4.5 If you never activate
If you use only the free tier and never activate a licence, the Software makes no network connections to SquidSpark at all.
5. Purchase, renewal, taxes, and refunds
5.1 Where you buy
Licences are sold through the SquidSpark store at store.squidspark.com. Payments are processed by Stripe; SquidSpark is the merchant of record and does not receive or store your full payment-card details.
5.2 Automatic renewal
Subscriptions renew automatically each year at the then-current price unless you cancel before the renewal date. You may cancel at any time from your store account or by emailing support@squidspark.com; cancellation takes effect at the end of the current term, and section 2.5 then applies.
5.3 Prices and taxes
Prices are in Canadian dollars and exclude sales taxes, which are added at checkout where applicable. We may change subscription prices, but a change applies only to terms beginning after we give you notice by email at least thirty (30) days in advance.
5.4 Refunds
We will refund a licence in full if you request it within thirty (30) days of the initial purchase, by emailing support@squidspark.com. Refunds of renewal charges are at our discretion. On a refund, the licence is revoked and you must stop using the licensed tier.
5.5 Suspension and revocation
We may suspend or revoke a licence key that was obtained fraudulently, shared or resold in breach of section 3.1, used to circumvent activation limits, or that is the subject of a chargeback or refund. Where practical, we will contact you first at the email address on the order.
6. Updates and changes to the Software
We may release updates that add, change, or remove features. Updates are governed by this Agreement unless an update is accompanied by different terms, in which case those terms govern that update. Apart from what section 2.4 provides during a paid term, we are not obligated to provide updates, support, or the continued availability of any particular feature.
7. Support
Support for licensed users is provided by email at support@squidspark.com on a commercially reasonable-efforts basis during Canadian business days. We do not guarantee a response time, and support does not include configuring, repairing, or administering your servers, networks, or databases.
8. Your data and your responsibility for it
Your connection profiles, saved credentials, saved commands, and application settings are stored on your device under %AppData%\mrdp. You are responsible for backing them up.
If you use the export feature, the resulting .mrdp.json file is yours to protect. If you choose to include saved passwords, they are sealed with a passphrase that you select (PBKDF2 + AES-GCM). Anyone who obtains both the file and the passphrase can read those passwords. We never receive export files, and we cannot recover a lost export passphrase or any data you delete.
9. Intellectual property and third-party components
The Software, including its source code, design, user interface, graphics, icons, and the RDP Engine and SquidSpark names and logos, is owned by SquidSpark and protected by Canadian and international copyright, trademark, and other intellectual-property laws.
The Software includes third-party open-source components, each licensed under its own terms, which are reproduced in the Third-Party Notices document available in the Software. Where a third-party licence grants you rights broader than this Agreement with respect to that component, the third-party licence governs that component.
Microsoft, Windows, Remote Desktop, and SQL Server are trademarks of Microsoft Corporation. Remote desktop functionality uses the Microsoft Terminal Services control included with Windows. RDP Engine is not affiliated with, sponsored by, or endorsed by Microsoft Corporation, Oracle, the PostgreSQL Global Development Group, the MariaDB Foundation, or any other third party whose protocol or product it interoperates with.
10. Feedback
If you send us suggestions, feature requests, or other feedback, you grant SquidSpark a perpetual, irrevocable, worldwide, royalty-free licence to use it and incorporate it into our products without obligation or compensation to you. You should not send us confidential information as feedback.
11. Term and termination
This Agreement takes effect when you first install or use the Software and continues until terminated.
- You may terminate at any time by uninstalling the Software and deleting all copies.
- We may terminate this Agreement if you materially breach it and, where the breach can be cured, you fail to cure it within thirty (30) days of our written notice. We may terminate immediately for a breach of section 3.1 or 3.2.
On termination, all licences granted here — including the perpetual right in section 2.5 — end, and you must stop using and delete all copies of the Software. Termination does not entitle you to a refund except as required by law. Sections 8 through 16 survive termination.
12. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY, REPRESENTATION, OR CONDITION OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT IT WILL BE COMPATIBLE WITH ANY PARTICULAR SERVER, PROTOCOL VERSION, OR OPERATING-SYSTEM UPDATE; OR THAT ANY CONNECTION, FILE TRANSFER, OR QUERY WILL COMPLETE SUCCESSFULLY OR ACCURATELY.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT WILL SQUIDSPARK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, USE, OR DATA, OR FOR THE COST OF SUBSTITUTE PRODUCTS, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) SQUIDSPARK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO SQUIDSPARK FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (ii) CAD $50.00.
These limits apply to damage to or loss of data on any system you connect to, to unauthorized access resulting from credentials you saved or exported, and to any interruption of a remote session, however caused.
Consumer rights. Nothing in sections 12 or 13 excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer, you may have statutory rights — including under the Consumer Protection Act, 2002 (Ontario) or, where it applies, the Consumer Protection Act (Quebec) — that this Agreement does not and cannot affect, and the exclusions above apply only to the extent those laws permit.
14. Indemnity
You will indemnify and hold harmless SquidSpark and its directors, officers, and employees from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Software in breach of section 3.2 or 3.3, or out of your handling of credentials or exported data.
15. Export control and government end users
You represent that you are not located in, and will not use or export the Software to, any country or person subject to sanctions or trade restrictions under Canadian law (including the Special Economic Measures Act and the United Nations Act) or under the export-control laws of any other applicable jurisdiction, and that you will not use the Software for any purpose prohibited by those laws.
If you are an agency or instrumentality of the Government of Canada or of a provincial government, the Software is commercial computer software and is licensed on the terms set out in this Agreement. If you are a United States Government end user, the Software is a "commercial item" consisting of "commercial computer software" and "commercial computer software documentation", licensed with only those rights granted to all other end users under this Agreement, consistent with FAR 12.212 and DFARS 227.7202.
16. General
16.1 Governing law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Jurisdiction. You and SquidSpark submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, for any dispute arising out of or relating to this Agreement — except that either party may seek injunctive relief in any court of competent jurisdiction, and except where mandatory consumer-protection law entitles you to bring proceedings in the courts of your own place of residence.
16.3 Entire agreement. This Agreement, together with the Privacy Policy and the Third-Party Notices, is the entire agreement between you and SquidSpark regarding the Software and supersedes all prior discussions, proposals, and agreements about it.
16.4 Changes to this Agreement. We may amend this Agreement for future versions of the Software or for renewal terms. We will publish the amended Agreement with the Software and update the effective date, and will give notice of material changes in the release notes or by email. Continuing to use the Software after an amendment takes effect means you accept it; if you do not, your remedy is to stop using the Software, and section 2.5 continues to govern the version you already paid for under the prior terms.
16.5 Assignment. You may not assign or transfer this Agreement, or any licence key, without our prior written consent, except that an organization may transfer it as part of a merger or a sale of substantially all of its assets on written notice to us. We may assign this Agreement to an affiliate or to a successor in a merger, acquisition, or sale of assets.
16.6 Severability and waiver. If a provision of this Agreement is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force. Our failure to enforce a provision is not a waiver of it.
16.7 Notices. Legal notices to SquidSpark must be sent to legal@squidspark.com and to the registered address in section 17. We may give notice to you by email at the address associated with your licence or store account, or through the Software.
16.8 Force majeure. Neither party is liable for a failure to perform (other than a payment obligation) caused by events beyond its reasonable control.
16.9 Language. The parties have requested that this Agreement and all related documents be drawn up in English. Les parties ont demandé que cette convention ainsi que tous les documents qui s'y rattachent soient rédigés en anglais.
